USER AGREEMENT WITH ONSHORE CAPITAL CORPORATION ("EZBIND")

I/We, hereinafter referred to as "USER" agree that we have obtained the Customer's consent to any fee however styled, if charged, for the products and/or services we order through the internet facilities of ONSHORE CAPITAL CORPORATION or its successors interest, hereinafter referred to as "EZBIND":

I/We agree as a condition of ordering and effecting products and/or services through the internet facilities of EZBIND, that any and all binders, contracts, policies, certificates or evidences of insurance placed by me/us MAY NOT BE CANCELED FLAT UNDER ANY CIRCUMSTANCES after the inception date for the products and/or services I/We ordered. I/We further agree that all products and/or services are subject to the terms and conditions of the contracts, policies, binders, certificates or evidences of insurance for that company or entity. I further acknowledge that governing law for this AGREEMENT shall be the State of Nevada.

I/We, the USER GUARANTEE THE PAYMENT OF ALL PREMIUMS, TAXES AND FEES, WHETHER COLLECTED BY US OR NOT, that is/are earned under any binders, contracts, policies, certificates or other evidences of insurance placed by us/me through the internet facilities of EZBIND, and if held negligent on any disputed payment, I/We agree to pay all court costs and reasonable attorney's fees and other damages suffered by EZBIND as a result thereof. I/We agree that EZBIND will not be responsible for the accuracy of instruction given by the USER.

I/We, the USER, further agree to hold harmless and indemnify EZBIND for any claims of negligence or statutory violation, including, but not limited to the duty to disclose to the insured the use of non-admitted insurers, if applicable, the acknowledgment of which should at all times be obtained from the insured, or any coverage exclusions or limitations arising from any binders, contracts, policies, certificates or other evidences of insurance placed by us/me through EZBIND, including the legal defense of EZBIND and/or its employees.

I/We agree that I/We will continuously maintain valid insurance licensing in the jurisdiction(s) I/we operate in and will maintain Errors & Omissions Insurance continuously for a limit of not less than $1,000,000 per claim and $1,000,000 annual aggregate while this contract is in force. I/we further agree that sixty (60) days written notice will be given EZBIND of our intent to move or cancel any account placed through this facility prior to its normal anniversary date.
